These terms cover the use of this website and the business-to-business supply and fulfilment arrangements that follow an enquiry.

1. Agreement
These terms govern your use of the website at wamsoft.group, operated by Wamsoft Group Limited, a company registered in Hong Kong Special Administrative Region (company registration number 77212531, business registration number 77212531) with its registered office at Unit B53, 2/F, Kwai Shing Industrial Bldg, Phase 1, 36-40 Tai Lin Pai Road, Kwai Chung, NT, Hong Kong.
By using this website you accept these terms. If you do not accept them, do not use the site.
2. What this website is
This website is a business-to-business information site. It presents the company, its supply capability and its US fulfilment service, and it accepts enquiries.
Nothing on this website is an offer for sale to consumers. There is no shopping cart, no checkout and no online payment. Goods are supplied only under a written quotation, purchase order or supply agreement.
3. Quotations and orders
A quotation is valid for the period stated on it, and in any event for 30 days from issue unless stated otherwise. Prices, lead times and minimum quantities are confirmed per programme and may depend on material availability at the time of order.
An order is accepted only when we confirm it in writing. Where a quotation and these terms conflict, the quotation prevails to the extent of the conflict.
4. Prices, currency and payment
Quotations and invoices are issued in US dollars unless the quotation states otherwise. Bank charges, currency conversion costs and any duties or taxes levied at the destination are the customer's responsibility unless the quotation states that they are included.
Standard terms are a deposit against the purchase order with the balance payable against the shipping documents, or payment in full before dispatch for smaller replenishments. We do not collect card details through this website.
5. Delivery, risk and title
Delivery terms are stated on each quotation, using Incoterms where applicable. Risk passes in accordance with those terms. Where we fulfil drop-ship orders, we dispatch to the end customer on your instructions and under your seller identity.
Delivery dates are estimates given in good faith. Time is not of the essence unless we have agreed in writing that it is.
6. Inspection, defects and claims
Goods are inspected before shipment and carry the records described on the quality and compliance page. Please inspect consignments on arrival and notify us of any shortage, damage or defect within 14 days of delivery, with photographs and the carton references. Claims made after that period may still be considered, but we cannot guarantee them.
7. Branding and trademarks
Branding is supplied only within the scope of the relevant trademark filing. Where a category is not covered by a filing, goods are supplied unbranded or under the customer's own brand.
The trademarks shown on this website are owned by their respective proprietors. Sales authorisation for a brand is held by the store operator appointed for it. Nothing on this website transfers, licenses or grants any trademark right to any visitor.
It is the customer's responsibility to ensure that any artwork, brand name or mark it asks us to apply may lawfully be used.
8. Intellectual property in this website
The content of this website, including its text, layout and design system, belongs to Wamsoft Group Limited or is used with permission. You may read, print and share it for the purpose of evaluating or doing business with us. You may not republish it as your own.
9. Limitation of liability
To the extent permitted by law, our total liability arising from any order is limited to the value of that order. We are not liable for indirect or consequential loss, including lost profit, lost sales or marketplace penalties, except where the law does not allow that limit.
Nothing in these terms limits liability for fraud, death or personal injury caused by negligence, or any other liability that cannot lawfully be limited.
10. Force majeure
We are not in breach of these terms for delay or failure caused by events outside our reasonable control, including natural events, war, civil disruption, epidemic, carrier failure, port congestion, customs action or industrial action.
11. Confidentiality
Each party will keep the other's commercial information confidential and use it only for the purposes of the business relationship, except where disclosure is required by law.
12. Governing law and jurisdiction
These terms are governed by the laws of the Hong Kong Special Administrative Region. The courts of Hong Kong have exclusive jurisdiction, unless a separate signed agreement between us says otherwise.
13. Changes
We may update these terms. The version published on this page at the time of your use applies, and the date at the top of the page shows the current version.
